The Services are intended to assist qualified professionals and do not constitute legal, regulatory, or trade compliance advice. You are solely responsible for all business decisions, filings, and compliance obligations.

3. Account Registration

To use the Services, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use.

You retain all rights to the data and documents you upload to the Services ("Your Data"). By uploading Your Data, you grant us a limited, non-exclusive license to process, store, and analyze it solely for the purpose of providing the Services to you.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. AI-generated outputs, including document classifications, data extractions, and validation results, may contain errors. You are responsible for reviewing and verifying all outputs before relying on them.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REASON TECHNOLOGIES, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless Reason Technologies, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any applicable law or regulation.

10. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, upon reasonable notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination will remain in effect.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any disputes arising out of or related to these Terms shall be resolved exclusively in the state or federal courts located in Delaware.
